These terms and conditions outline the rules and regulations for the use of DEENCE LTD's website and also the projects we deliver as business. DEENCE LTD's head office is located in Stevenage, United Kingdom.
By accessing this website we assume you accept these terms and conditions in full. Do not continue to use DEENCE LTD's website if you do not accept all of the terms and conditions stated on this page. The following terminology applies to these Terms and Conditions, Privacy Statement and Disclaimer Notice and any or all Agreements: “Client”, “You” and “Your” refers to you, the person accessing this website and accepting the Company’s terms and conditions. “The Company”, “Ourselves”, “We”, “Our” and “Us”, refers to our Company. “Party”, “Parties”, or “Us”, refers to both the Client and ourselves, or either the Client or ourselves.
All terms refer to the offer, acceptance and consideration of payment necessary to undertake the process of our assistance to the Client in the most appropriate manner, whether by formal meetings of a fixed duration, or any other means, for the express purpose of meeting the Client’s needs in respect of provision of the Company’s stated services/products, in accordance with and subject to, prevailing law of United Kingdom. Hosting
Web hosting
We work with our close partner, Nimbus Hosting Ltd, to facilitate the hosting of all our website accounts. Whilst we cannot guarantee 100% uptime, Nimbus Hosting Ltd are committed to a 99.995% Infrastructure, Network and Hardware availability. For more information, please read through their Service Level Agreement.
All website hosting accounts with DEENCE LTD are billed on an annual basis. An invoice is generated and sent 2 weeks before the renewal of the service with payment due on a 14 day basis. Failure to pay the hosting invoice may result in your website being suspended until payment is received. If the hosting service with us is no longer required, it is the clients responsibility to notify DEENCE LTD within 2 days of the invoice being generated, otherwise the account will be renewed.
Email hosting
Email accounts hosted with DEENCE LTD are facilitated through Microsoft's 365 Cloud. All email accounts are billed on a monthly basis with payment due on receipt of the invoice. We want to make sure your business stays online so will not suspend any email accounts until the invoice is 1 week overdue, at which point we will be in touch to inform you that the email account will be suspended and thus will not be able to send or recieve any emails.
Email signatures are facilitated through Exclaimer and are billed on a monthly basis along with the email accounts.
Projects
Content liability
We shall have no responsibility or liability for any content appearing on your Web site. You agree to indemnify and defend us against all claims arising out of or based upon your Website. No link(s) may appear on any page on your Web site or within any context containing content or materials that may be interpreted as libelous, obscene or criminal, or which infringes, otherwise violates, or advocates the infringement or other violation of, any third party rights.
Proposals
Proposals created and issued by DEENCE LTD are valid for 30 days and are non-transferable. The proposal is only valid to the business detailed on the document itself. Any tampering of the document against our own records will result in the proposal being voided.
Ownership
With all projects we undertake, the product (whether it be a website, logo or brochure etc) belongs solely to the client as long as all outstanding invoices are settled.
Payments
Payments for design projects (which include web design, development, graphic design) are completed in 2 stages with 50% of the total amount being paid at the start of the project and the remaining 50% being paid upon project completion (this may differ, please check your quote for specific payment details). We define project completion as being the step before the website goes onto a live domain for public access. All other payments will be invoiced in full upfront.
When we start the project, deadlines will be set out for both parties outlining when we require certain content from you, the client, and when work our side will be complete. This can include designs and builds. These deadline can only be met if we receive content within the outlined time given. Failure to deliver content before this deadline will result in the project being postponed. Invoices however will still be sent on the outlined dates, regardless of whether we have received the data from you, the client.
Payment is expected in accordance of the due date on the invoice. Failure to pay the invoice within this date may result in additional administration charges.
Monthly Retainers
Minimum Terms
We setup monthly retainers for a minimum of 6 months to full embed ourselves in your business in order to deliver projects to the high standard you expect, then leading to a 30-day rolling contract thereafter.
Cancellation
After the minimum term is complete, the contract then operates on a 30-day rolling agreement meaning you are free to cancel your retainer with us at any time, with nothing locking you into the contract. If you do choose to cancel the agreement with us, you are agreeing to sacrifice any outstanding hours and are happy to be charged the difference if there is a negative hour balance.
Roll-over Hours
At the end of the month, we will outline how much work has been completed in regards to hours spent. You are able to carry over a maximum of up to 2 hours not spent onto the next month up to a maximum of 4 hours total. An example being 7 hours a month, 3 remain 'unused' at the end of the month meaning 2 hours are then carried over to the next month. This will continue until the total amount of allotted hours reaches 11 (7 hours for the month with a maximum of 4 accumulated carry over hours) after which no additional hours can be carried over until the balance is reduced back down below the 11 hour limit.
